FOR IMMEDIATE RELEASE

Facilitec USA Announces Major Corporate Change

June 21, 2006

Daryl Mirza, President of Facilitec USA, the largest Kitchen Exhaust Cleaning Company in North America, has decided after careful consideration to divide the business into five independently owned regional-based companies.

Continuing to operate under the Facilitec brand, the new regional companies will be owned and operated by members of Facilitec's senior management team. Facilitec USA will retain national manufacturing and distribution of Grease Guard® Rooftop Grease-Containment Systems, the Prism Filter & Soaker Division, and National Fire Services.

Vice President Jim Selle will continue to oversee sales on behalf of all Facilitec USA companies, along with overall responsibility for Grease Guard Operations.

"Members of our senior management team are each buying a region of the business, similar to many of our national customers who have Joint Venture and Market Partners," Daryl says. "The opportunity gives them freedom to market, grow, and develop their own regions by taking ownership of their day to day operations. Customers will benefit from local attention, faster response, fewer corporate hurdles, and quicker decision making."

Based in Gurnee, Illinois, Facilitec USA provides Kitchen Exhaust Cleaning and Rooftop Grease Containment services to hotels, restaurants, schools, and other food service businesses throughout North America.

I think I will buy the Mdwest and East! What about the West coast and Mountains, Matt. Are you in?

I am curious, does anyone know of a example where this has worked? Basically they are franchising in reverse. It would seem that the same people will be running it, with a large payment each month. I would bet not much would change in the long term. They have the same issues as us smaller guys-just more of it.

Oh yes, General Custer split the 7th up in thirds-and they had no air cover on top of it plus way to many indians.

It looks like they are trying to de-centralize the decisions and better get into local markets by splitting their comapny into divisions that can be more oriented to the customes needs. it will be interesting to see how it pans out.

Looks like an opportunity to take the business while there is confusion . I remember when orkin merged their devision together I gained so much new business because no one knew who was doing what. when it came to the customers that they were responsible for . And the other thing was that costumers became concerned that the company would dramatical change the way they how to be would be doing business with them and that their was a possibility quality of service was going to be degraded . And in both cases it did happen

You know what your right I just realized that we picked up a steak house chain last month from facilitech becaise they did not show up 2 times to do the job. They told the GM that they had problems with one store since the crew had to get cleared by security to go up on the roof. I kind of rolled my eyes when he told me that one. they called after we did the one store and the GM told them if they couldn't do one store then they were not going to clean the rest and we got them. They were happy as pigs in cool mud since not only did we clean their system but fixed the fans since the belts were eaten up and we didn't leave water all over the floor like the last crew did.

I would say it sounds like a move in the right direction for F. By puting the senior mangement closer to the service areas they will be able to take a more hands on approach to managing their divisions in different cities. Their current model gave way too much control to the lower management, who seem to be the same crooked theives that we compete with on local levels. If this company gets a handle on their local management they could quickly become the "Wal-Mart" of our industry. We all may dislike Big Joe, but we shouldn't under estimate their capabilities.

Josh,
You are right about why they are doing what they are doing. I notice that facilitech ( at least here in the Dc VA MD area. Goes for all the big chains and leaves the less than 7 store chains and mom and pops alone. they are also not too big in DC where they are acually inspected by the fire marhall AFTER the cleaning
